Service Provider Agreement

This Agreement is entered into by and between the legal entity that agrees to and complies with the terms of this Agreement and becomes a service provider of d8j.com (as defined below) (hereinafter referred to as the "Service Provider" or "You") and d8j.com (hereinafter referred to as "d8j").

This Agreement includes the main text of the agreement, annexes, and all business specifications, activity rules, notices, announcements, and other documents issued or to be issued by d8j and/or its affiliates relating to d8j (collectively referred to as the "Rules"). All Rules constitute an integral part of this Agreement and have the same legal effect as the main text. d8j reserves the right to formulate and modify this Agreement and/or the Rules from time to time. If any changes are made, d8j will post them on its website without separate notice. The revised Agreement and Rules will take effect immediately upon publication and become part of this Agreement. If you do not agree with such changes, you should immediately stop using any d8j services; continuing to use the services constitutes your acceptance of the revised Agreement and Rules.

A. Definitions and Interpretation

Unless otherwise defined in this Agreement, the following terms have the following meanings:

  1. : We provide you with an exclusive backend and promotional links.

    d8j operates multiple market categories, including but not limited to API, virtual services, etc. (d8j may adjust the types and names of market categories from time to time; the specific categories are as displayed on d8j's description pages).

    d8j will timely adjust platform names, website addresses, and other display elements based on business development and notify service providers and users via announcements, internal messages, emails, or other effective means. Such adjustments will not affect the rights and obligations of d8j, service providers, and/or users under this Agreement.

  2. Service Provider or You: Refers to a company or individual who has successfully registered on the d8j platform and provides online sales and/or free services to users through the platform.
  3. User: Refers to an enterprise or individual who purchases or obtains the Service Provider's products/services through d8j.
  4. Information: Refers to content posted by the Service Provider on d8j for users to browse or view products/services, or a combination of such content.
  5. Products/Services/Projects: Refers to all products and services posted by the Service Provider on d8j.

B. Service Provider Management Standards

1. Service Provider Onboarding

  1. Service providers should register on the platform through an invitation agent link.
  2. After onboarding, d8j reserves the right to request additional or updated information from the service provider at any time.
  3. If any information or data of the Service Provider changes, it should be updated promptly.

2. Listing Products

  1. Listed products/services must have clear descriptions and be publicly available to users;
  2. Listed products/services must be safe and feasible;
  3. Products/services may be paid or free, and the Service Provider must have all qualifications required to sell or publish them;
  4. The Service Provider must have legal intellectual property rights or authorization from relevant rights holders; if open-source software is involved, it must comply with applicable open-source licenses;
  5. Titles, images, attributes, prices, and descriptions of listed products/services must match; external links or plagiarism from other providers are prohibited;
  6. Listed products must not contain:
  7. Prohibited or restricted content as defined in this Agreement must not be posted; Service Providers must not maliciously submit non-compliant products or services.
  8. If the Service Provider engages in business requiring licenses or approvals, they must obtain all necessary licenses, qualifications, or documents to ensure compliance with the law on d8j.

C. Platform Services

  1. d8j provides platform services, including but not limited to: display of energy products/services/projects, information publication, self-service management of online transactions, sales payment processing, and business promotion (availability determined by d8j), along with network and technical support.
  2. To encourage development, d8j may offer discounts or fee waivers. Service Providers understand that such promotions do not waive d8j's right to charge for services. d8j will notify service providers of fee policies and adjustments via announcements or emails. If a Service Provider objects, they may exit the platform; if not, continuing to use services constitutes agreement.
  3. Settlement data recorded in the Service Provider's wallet address shall be deemed accurate.
  4. If the Service Provider violates this Agreement or related rules, or receives complaints, d8j may freeze the energy agent account until compliance is restored.
  5. Tax

    Income obtained from d8j must be reported and taxed according to local law; d8j does not withhold taxes on behalf of Service Providers.


D. Rights and Obligations of Service Providers/You

  1. Service Providers/You must ensure products/services comply with d8j standards, technical specifications, and safety rules, follow d8j management, and abide by all Rules.
  2. Products/services must be legally sourced, not infringe third-party rights, and be free of malware; you must not interfere with d8j or other programs.
  3. You must not use data obtained through d8j for commercial purposes outside this Agreement or improperly acquire user information.
  4. You must not upload, download, store, or publish content that threatens Internet security or infringes others' rights.
  5. Any disputes, penalties, or lawsuits arising from your products/services are solely your responsibility, and you must indemnify d8j.
  6. d8j owns all operational data generated under this Agreement; Service Providers may not use it without written permission.
  7. Service Providers must provide the following: clear service items and prices, 24/7 technical support, service security, small test options for certain products, handle refunds related to energy, and provide reliable customer service.

E. Rights and Obligations of d8j

1. Rights of d8j

  1. d8j can manage and guide Service Providers, revise Management Rules, and notify via announcements, messages, or emails. Service Providers can stop selling if they disagree.
  2. d8j may adjust platform name, website, or business scope; minor adjustments not affecting Service Providers' rights are not considered modifications.
  3. All IP and program rights belong to d8j.
  4. d8j can claim damages if losses result from Service Provider violations.
  5. d8j can terminate the Agreement and hold Service Providers liable for breaches.

2. Obligations of d8j

  1. d8j shall maintain normal platform operation.
  2. d8j shall provide technical support to help Service Providers improve operations.

F. Intellectual Property

  1. All content on d8j.com is protected IP of d8j and its affiliates, including trademarks, patents, copyrights, trade secrets, etc. Unauthorized use, modification, reproduction, publication, or distribution is prohibited.
  2. Service Providers grant d8j a free license to use, copy, modify, adapt, publish, translate, distribute, perform, display, and create derivative works from content posted on d8j.com.

G. Data Protection

  1. d8j owns all operational data. Service Providers cannot use it without permission, and cannot backup, leak, sell, transfer, or authorize third-party use.
  2. Service Providers may only collect necessary user information to provide post-sale services and cannot use it otherwise.
  3. Violation of confidentiality will result in compensation to d8j for all losses.

H. Liability and Limitation

  1. d8j provides reasonable security measures but does not guarantee error-free or uninterrupted service; force majeure is exempted.
  2. d8j does not guarantee the identity, performance, legality, or accuracy of Service Providers' products/services and is not a party to transactions.
  3. All risks of products/services lie with Service Providers; d8j is not liable.
  4. d8j holds no IP rights over products/services; rights remain with legal owners.

I. Breach of Contract

  1. Parties breaching this Agreement shall compensate for losses. d8j's liability is limited to total income from the relevant business during cooperation.
  2. d8j may determine violations unilaterally and take action without notice.
  3. Service Providers must fully indemnify d8j for losses or claims resulting from legal violations or Agreement breaches.
  4. d8j may suspend or terminate services if breaches occur without notice or consent.

J. Effective Date, Term, and Assignment

1. Effectiveness and Term

This Agreement is effective upon confirmation by the Service Provider via the webpage. The term is 1 year, but Intellectual Property and Data Protection clauses remain permanent.

2. Termination

d8j may terminate with 15 days written notice; the Agreement terminates if the d8j Terms are terminated; mutual agreement allows exit. Immediate termination applies for serious breaches.

  1. Serious violations of any commitment or guarantee;
  2. Serious violations of d8j Terms or Rules.

3. Consequences

Obligations incurred before termination must still be fulfilled; d8j need not provide further services after termination.

4. Assignment

d8j may assign rights and obligations to a third party without Service Provider consent and will notify via announcements.


K. Miscellaneous

  1. If any provision is invalid or unenforceable, it can be severed without affecting remaining provisions. Headings are for convenience only.
  2. This Agreement contains general rules for Service Provider operations. Supplementary agreements, annexes, or memoranda may apply. In case of conflict, the supplementary terms prevail.
